These Terms and Conditions ("Terms") govern your use of the Unyrex Technologies Inc energy monitoring software platform and related services. By accessing or using our platform, you agree to be bound by these Terms.

1. Software License Agreement

1.1 License Grant

  • Unyrex grants you a non-exclusive, non-transferable, revocable license to use our software platform
  • License is valid for the duration of your paid subscription
  • You may access the platform from multiple devices under your account
  • License is limited to your internal business operations only

1.2 License Restrictions

  • You may NOT resell, sublicense, or distribute our software to third parties
  • You may NOT reverse engineer, decompile, or attempt to extract source code
  • You may NOT remove or modify any copyright, trademark, or proprietary notices
  • You may NOT use the platform for illegal activities or to violate any regulations

1.3 Subscription Tiers

  • Basic License: Single facility monitoring (up to 50 devices)
  • Professional License: Multi-facility monitoring (up to 500 devices)
  • Enterprise License: Unlimited devices with dedicated support
  • Custom License: Tailored solutions available upon request

2. Billing and Payment

2.1 Subscription Fees

  • Fees are charged in advance on a monthly or annual basis
  • Prices are quoted in USD and EUR depending on your region
  • Annual subscriptions receive a 15% discount compared to monthly billing
  • Enterprise pricing is customized based on requirements

2.2 Payment Terms

  • Payment is due immediately upon subscription activation
  • We accept credit cards, bank transfers, and purchase orders (for Enterprise)
  • Failed payments may result in service suspension after 7 days
  • You are responsible for all applicable taxes (VAT, sales tax, etc.)

2.3 Refund Policy

  • New customers: 30-day money-back guarantee (first subscription only)
  • Annual subscriptions: Pro-rated refund available within first 90 days
  • Monthly subscriptions: No refunds after service activation
  • Refunds processed within 14 business days

2.4 Price Changes

  • We reserve the right to modify pricing with 60 days notice
  • Existing subscribers: Price changes apply at next renewal
  • Annual subscribers: Price locked for current subscription period

3. Acceptable Use Policy

3.1 Permitted Uses

  • Monitor and analyze energy consumption for your facilities
  • Generate reports for internal business purposes
  • Share data with authorized employees and contractors
  • Use analytics for operational optimization

3.2 Prohibited Activities

  • Upload malicious code, viruses, or harmful software
  • Attempt unauthorized access to other accounts or systems
  • Use the platform to transmit spam or unsolicited communications
  • Violate any applicable laws, regulations, or third-party rights
  • Exceed API rate limits or abuse system resources

4. Limitation of Liability

4.1 Service Disclaimer

  • The platform is provided "AS IS" without warranties of any kind
  • We do not guarantee uninterrupted or error-free service
  • We are not responsible for data accuracy if you provide incorrect input
  • Energy consumption calculations are estimates and may vary

4.2 Liability Limits

  • Our maximum liability is limited to the amount you paid in the last 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • This includes loss of profits, data, or business opportunities
  • Some jurisdictions do not allow liability limitations; these may not apply to you

4.3 Service Level Agreement (SLA)

  • Target uptime: 99.5% monthly availability (excluding scheduled maintenance)
  • Scheduled maintenance: Maximum 4 hours per month with 48 hours notice
  • Emergency maintenance: May occur without notice for security issues
  • SLA credits: Available for Enterprise customers if uptime falls below 99%

5. Intellectual Property Rights

5.1 Our Ownership

  • All software, algorithms, and platform features are our proprietary property
  • Trademarks, logos, and branding materials are protected
  • We retain all rights not explicitly granted in these Terms

5.2 Your Data Ownership

  • You retain full ownership of all data you upload to the platform
  • We do not claim ownership of your energy consumption data
  • You grant us a limited license to process your data to provide services
  • You can export your data at any time in standard formats (CSV, JSON)

6. Termination

6.1 Termination by You

  • You may cancel your subscription at any time from your account settings
  • Cancellation takes effect at the end of your current billing period
  • No refunds for partial months (monthly subscriptions)
  • Download your data before termination; we delete it after 90 days

6.2 Termination by Us

  • We may suspend your account for non-payment after 7 days
  • We may terminate your account for violations of these Terms
  • We may discontinue the service with 90 days notice (rare)
  • You will receive a pro-rated refund if we terminate without cause

7. Additional Terms

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes shall be resolved through binding arbitration in Wilmington, Delaware, unless prohibited by local law.

Changes to Terms

We may modify these Terms with 30 days notice. Continued use after changes constitutes acceptance.

Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

Entire Agreement

These Terms constitute the entire agreement between you and Unyrex Technologies Inc regarding the platform.
